Definitions

“Hearthside” means Hearthside Food Solutions, LLC

The Website, Materials, and the databases, software, hardware, and other technology used by or on behalf of Hearthside to operate the Website and Website services, and the structure, organization, and underlying data, information and software code thereof (collectively, the “Technology”), constitute valuable trade secrets of Hearthside. You will not, and will not permit any third party to: (i) access or attempt to access the Technology except as expressly provided in the Terms and Conditions; (ii) use the Technology in any unlawful manner or in any other manner that could damage, disable, overburden, or impair the Technology; (iii) use automated scripts to collect information from or otherwise interact with the Technology; (iv) alter, modify, reproduce, or create derivative works of the Technology; (v) distribute, sell, resell, lend, loan, lease, license, sublicense, or transfer any of your rights to access or use the Technology or otherwise make the Technology available to any third party; (vi) reverse engineer, disassemble, decompile, or otherwise attempt to derive the method of operation of the Technology; (vii) attempt to circumvent or overcome any technological protection measures intended to restrict access to any portion of the Technology; (viii) monitor the availability, performance, or functionality of the Technology; or (ix) interfere with the operation or hosting of the Technology.

Hearthside retains all rights, titles, and interests, including, without limitation, all intellectual property rights, proprietary rights, rights of publicity, rights of privacy, and any and all other legal rights protecting data, information, or intangible property throughout the world, including, without limitation, any and all copyrights, trademarks, service marks, trade secrets, patent rights, moral rights, sui generis rights in databases, and contract rights, in and to the Technology, Materials, services, and any additions, improvements, updates, and modifications thereto. You receive no ownership interest in or to the Technology, Materials, or services, and you are not granted any right or license to use the Technology, Materials, or services apart from your ability to access the Website under the Terms and Conditions. 

Service Access

While we try to ensure that the Website is normally available 24 hours a day, we shall not be liable if for any reason the Website is unavailable at any time or for any period. Access to the Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our control.

HEARTHSIDE’S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THE TERMS AND CONDITIONS AND ALL TECHNOLOGY, MATERIALS OR SERVICES PROVIDED UNDER THE TERMS AND CONDITIONS OR THROUGH THE WEBSITE, WHETHER IN CONTRACT OR TORT OR OTHERWISE, WILL NOT EXCEED $100. BECAUSE SOME JURISDICTIONS DO NOT PERMIT CERTAIN LIMITATIONS OR DISCLAIMERS OF LIABILITY, THESE LIMITATIONS MAY NOT APPLY TO YOU.

YOU EXPRESSLY AGREE THAT IF YOUR USE OF THE WEBSITE RESULTS IN THE NEED FOR SERVICING, REPAIR OR CORRECTION OF YOUR EQUIPMENT, SOFTWARE OR DATA, YOU SOLELY ASSUME ANY AND ALL COSTS AND EXPENSES OF THIS.

Each party hereby represents and warrants to the other party that: (i) it has the legal right and authority to enter into the Terms and Conditions; (ii) the Terms and Conditions forms a binding legal obligation on behalf of such party; and (iii) it has the legal right and authority to perform its obligations under the Terms and Conditions and to grant the rights and licenses described in the Terms and Conditions.

You represent and warrant to Hearthside that your use of and access to the Website, including any of Your Content, will comply with all applicable laws, rules, or regulations (“Laws”) and will not cause Hearthside itself or any other third party to violate any applicable Laws. 

Indemnity

As a condition of your use of the Website, you expressly agree to defend, indemnify and hold harmless Hearthside, its respective employees, directors, officers, attorneys, agents, parent companies, subsidiaries, vendors, suppliers, affiliates, insurers and any related third parties in full, from and against any and all third party claims, liabilities, losses, costs, judgments, actions, decrees, fees, suits, investigations, demands, penalties, damages of any kind (whether general, special, direct, indirect, incidental, consequential, exemplary, punitive or liquidated), loss of data, loss of income, loss of profits, loss of business, loss of goodwill, business interruption, and expenses (including reasonable legal fees), whether in tort (including without limitation, negligence), contract, warranty, common law, statutory, administrative, regulatory or otherwise, incurred or suffered by such persons or entities arising out of or in any way related to (i) the Website, (ii) your use of the Website, Materials, or services, (iii) Your Content, and/or (iv) any breach by you of any term in the Terms and Conditions or any applicable Law.

Feedback

If you provide Hearthside any feedback or suggestions regarding the Website, Technology, Materials, or services (“Feedback”), you hereby assign to Hearthside all rights in the Feedback and agree that Hearthside shall have the right to use such Feedback and related information in any manner it deems appropriate without a duty of accounting to you.  Hearthside will treat any Feedback you provide to Hearthside as non-confidential and non-proprietary. You agree that you will not submit to Hearthside any information or ideas that you consider to be confidential or proprietary.

Termination

The Terms and Conditions may be terminated by either party at any time, in that party’s sole discretion, upon notice to the other party as permitted under the Terms of Condition. Except as otherwise stated in the Terms of Condition, upon termination or expiration of the Terms of Condition for any reason: (i) all rights and subscriptions granted to you under the Terms of Condition will terminate; and (ii) you will immediately cease all use of and access to the Website, Technology, and all Materials and services (including, without limitation, all of Your Content obtained prior to termination). 

Privacy and Data Protection

We are committed to protecting your privacy online. 

Governing Law

The Terms and Conditions shall be governed by the laws of Illinois and any dispute arising from the Terms and Conditions or your use of the Website shall be subject to jurisdiction of any courts in the State of Illinois in the United States.

Written Communications

Our principle means of communication with you will be mainly electronic. We will contact you by email or provide you with information by posting notice on the Website. You expressly agree to electronic communications and acknowledge that all contracts, notice and other communication that we provide electronically comply with any requirement that they must be in writing.

Additional Terms

Unless otherwise amended, the Terms and Conditions will exclusively govern your access to and use of the Website, Technology, Material, and services, and is the complete and exclusive understanding and agreement between the parties, and supersedes any oral or written proposal, agreement or other communication between the parties, regarding your access to and use of the Website, Material, and services. All waivers by Hearthside under Website, Material, and services must be in writing or later acknowledged by Hearthside in writing. Any waiver or failure by Hearthside to enforce any provision of the Terms and Conditions on one occasion will not be deemed a waiver by Hearthside of any other provision or of such provision on any other occasion. If any provision of the Terms and Conditions is held to be unenforceable, that provision will be removed to the extent necessary to comply with the law, replaced by a provision that most closely approximates the original intent and economic effect of the original to the extent consistent with the law, and the remaining provisions will remain in full force. The prevailing party in any lawsuit or proceeding arising from or related to the Terms and Conditions will be entitled to receive its costs, expert witness fees and reasonable attorneys’ fees, including costs and fees on appeal. Neither the Terms and Conditions nor any rights or obligations of you hereunder may be assigned or transferred by you (in whole or in part and including by sale, merger, consolidation, or other operation of law) without the prior written approval of Hearthside. Any assignment in violation of the foregoing will be null and void. Hearthside may assign the Terms and Conditions to any party that assumes Hearthside’s obligations hereunder. The parties hereto are independent parties, not agents, employees or employers of the other or joint venturers, and neither acquires hereunder any right or ability to bind or enter into any obligation on behalf of the other. Any reference herein to “including” will mean “including, without limitation.” 

Registration Terms and Conditions

These “Registration Terms and Conditions” are to be read in conjunction with our general Terms and Conditions (see above) and our Privacy Policy. These Registration Terms and Conditions apply to our discussion forums and will apply to you if you register with us.

Eligibility

Use of our online community and registration to be a Registered User is void where prohibited. Our online community is solely for users aged 18 and over. Any registration by, use or access to the online community by anyone under 18 years of age shall be unauthorized, unlicensed and in violation of these Registration Terms and Conditions. By using the online community, you warrant that: all registration information you submit is truthful and accurate; you will maintain the accuracy of this information; your use does not violate any applicable law or regulation; and you are 18 years of age or older. We reserve the right to terminate your membership without warning if we believe that you are under 18 years of age.

Username and Passwords

In order to access the Website, you will have to create an account. You must submit a valid email address and select a password during the registration process. By electing to use the Website, you agree to provide true, accurate, current, and complete information about yourself as prompted by any registration form for the Website, and you agree to maintain and promptly update any registration data to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or Hearthside has any reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Hearthside may suspend or terminate your account and refuse to offer you any and all current or future use of the Website. By creating an account for the Website, you also agree to the following:

  • The account must be specific to you – accounts may not be shared with other users.

  • You understand that sharing account information or allowing others to access your account could result in removal of your account.

  • You will notify Hearthside of any unauthorized use of your password or account or any other breach of security as soon as you become aware of such use or breach.

  • You are solely responsible for any and all use of your account by any third party. If you believe that someone else may have access to or know your password, you must contact us immediately to change it to recruiter@hearthsidefoods.com

 Submission of Content

As a Registered User you may post or upload Your Content to the Website as long as you comply with our content standards, community guidelines and Terms and Conditions. You grant us a perpetual, royalty-free, non-exclusive license to use copy, store, reproduce, modify, display, adapt, translate, create derivative works from, distribute, sublicense, and display all Your Content on the Website, and subject to your permission for any other uses as we may require in any and all media. This includes, without limitation, the right to sub-license to third parties via any and all media (whether existing now or invented in the future). You grant us all necessary rights, licenses, consents and clearances to allow us to use Your Content in accordance with these Registration Terms and Conditions and agree not to assert any moral or similar rights you may have in any Content. In addition, you waive all moral rights in all Your Content (or warrant that all moral rights applicable to such Your Content have been waived).

You represent and guarantee that Your Content:

  • does not infringe or misappropriate any copyright, trademarks, trade secret, rights of privacy/confidentiality, publicity or other intellectual property or other rights of any other person or entity;

  • does not contain any information about any person(s) under the age of 18 unless you are either their parent or legal guardian, or have signed permission from their parent or legal guardian;

  • does not contain malicious code, viruses or other harmful programs or material;

  • does not violate any applicable law, statute, ordinance, rule or regulation; and

  • meets our Content Standards (see below) and complies with any specific rules that may apply to any particular area of the Registered Users’ Areas.

You expressly agree that before posting or uploading Your Content you are responsible for obtaining all releases, consents and/or licenses necessary for uploading Your Content on our Website and for any subsequent use of that content by us in accordance with these Registration Terms and Conditions.

You promise that you are the person depicted in any images or recordings submitted as part of Your Content and if you upload any images or recordings of any third party, you have obtained the prior written consent of that party to submit such content to our Website.

Content Standards

You agree whenever you submit Your Content to our Website or contact other Registered Users you must comply with our Content Standards and community guidelines. If you do not comply we reserve the right to suspend or ban you from using the Website and the Registered User Areas without notice.

You agree Your Content must be accurate where it states facts and be genuinely held where it states opinions.

You agree Your Content must not:

  • contain any material which constitutes or encourages conduct that could be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law;

  • contain any material which is defamatory;

  • contain any material which is obscene or offensive;
